TERMS AND CONDITIONS FOR USING THE B2B PORTAL
AND SUBMITTING COMMERCIAL PROPOSAL REQUESTS

Please read these Terms before using **packsumy.com.ua**. Visiting the website, using its functions or submitting a request means that the User has read and agrees to comply with these Terms.
Submitting a request does not automatically create a contract, place an order, reserve products or confirm price, availability, manufacturing time or delivery time.
1. GENERAL PROVISIONS
1.1. Portal owner
The owner and administrator of packsumy.com.ua is **PACK SUMY Limited Liability Company**, located at 20 Y. Vetrova St., Sumy, Ukraine; email: packsumy@gmail.com; phones: +38 (096) 882 00 45, +38 (066) 752 21 88 (the **Company**).
1.2. Purpose of the Portal
The Portal is an informational B2B service for reviewing packaging materials and related products, sending enquiries, submitting technical specifications, making preliminary automated calculations, receiving individual commercial proposals and exchanging information needed to agree possible cooperation. It is not a conventional online shop and does not provide automatic checkout or guarantee a purchase without the Company’s additional approval.
1.3. Scope and applicable law
The Portal is primarily intended for legal entities, entrepreneurs, institutions and organisations buying products for business, professional or production purposes. Individuals may use it if the Company agrees to process their request. These Terms are governed by the laws of Ukraine, including rules on civil relations, electronic commerce, electronic documents, personal-data protection and information.
2. DEFINITIONS
The **Portal** is packsumy.com.ua with its pages, catalogue, forms, calculators, automated modules, APIs and other functions. A **User** is any visitor or representative using it. A **Customer** is a User or represented person on whose behalf a request is sent. A **Request/Application** is an informational enquiry submitted through a form, email or another channel. A **Commercial Proposal** is information prepared by the Company about possible manufacture, sale or supply terms. A **Preliminary Calculation** is an automated or manual estimate. **Products** include packaging materials, films, bags, tapes, consumables, works and services. **Individual Products** are manufactured or adapted to a specific Customer’s parameters.
3. LEGAL STATUS OF PORTAL INFORMATION
Catalogue data, prices, availability, calculations and other Portal information are informational unless the Company expressly states otherwise. A Request, calculation or Commercial Proposal is not an offer, acceptance, contract, stock reservation, production launch, invoice or unconditional commitment to supply or purchase. A Commercial Proposal is an offer only when it expressly says so, contains the material terms and states its acceptance procedure. The Company may correct technical errors, update information and withdraw or revise information that is no longer current.
4. SUBMISSION AND PROCESSING OF REQUESTS
The User must provide accurate, complete and up-to-date contact, quantity, product and technical information. The Company may clarify information, request documents, propose an equivalent product, change a calculation after checking parameters or decline a request where performance is impossible or inappropriate. A request is considered for processing after a manager reviews it; its transmission does not mean acceptance of an order.
5. PRICES AND COMMERCIAL PROPOSALS
Prices and calculations depend on the current system data and parameters supplied by the Customer. They may be changed or clarified after checking specifications, quantity, minimum production batch, availability, materials, artwork, delivery and other conditions. The final price, validity period and payment terms are confirmed in the relevant Commercial Proposal, invoice, specification, agreement or other document agreed by the parties.
6. AVAILABILITY AND PRODUCTION
Products shown in the catalogue may be unavailable, limited in quantity or made to order. Production feasibility and lead time are confirmed only after all material terms and technical parameters are agreed and, where applicable, payment, files and approvals are received. The Company may offer an equivalent or refuse manufacture where technical, legal or production requirements are not met.
7. CONTRACT, INVOICE AND SUPPLY
A contract is concluded only in the manner agreed by the parties or provided by Ukrainian law. Payment must be made only against a separate invoice issued by the Company after review of the request and agreement of supply terms. Delivery method, collection, documents, acceptance and other supply conditions are confirmed separately. A Commercial Proposal itself is not an invoice or payment document.
8. FILES, ARTWORK AND TECHNICAL SPECIFICATIONS
The Customer is responsible for the accuracy, legality and right to use files, artwork, trademarks, texts, layouts and technical specifications provided to the Company. The Company may request correction, refuse unsuitable materials or suspend work until necessary approval is received. The Customer bears responsibility for claims arising from materials supplied by the Customer that infringe third-party rights or legal requirements.
9. USER OBLIGATIONS
The User must use the Portal lawfully, provide true information, protect access details, refrain from sending spam or malicious content, avoid unauthorised access, automated overload and interference with Portal operation, and respect the rights of the Company and third parties.
10. INTELLECTUAL PROPERTY
The Portal, its design, texts, images, calculations, databases and software are protected by intellectual-property law. They may not be copied, changed, distributed or used outside the Portal’s intended purpose without the Company’s written permission, except where law expressly permits otherwise.
11. PERSONAL DATA
The Company processes personal and business contact data for handling requests, preparing proposals, negotiations, contracts, accounting, delivery, security and compliance. Data may include a name, company, phone number, email, delivery details, request content, product specifications and voluntarily supplied files. Processing is based on consent where required, performance of a request or contract, legitimate interests and legal obligations. Data may be transferred only as needed to Company employees, service providers, carriers, banks, advisers, production or trading partners, or authorities where required by law. The data subject may request access, correction, deletion where applicable, restriction or objection by writing to packsumy@gmail.com. Data is kept only as long as reasonably necessary for these purposes and statutory obligations.
12. ELECTRONIC MESSAGES
The Company may send service messages about a request, proposal, invoice, delivery, documents or Portal security to the contact details supplied by the User. The User is responsible for the accuracy and availability of those contact details.
13. COOKIES AND TECHNICAL DATA
The Portal uses cookies and technical data necessary for operation, security, statistics and improvement of the service. Browser settings can limit some cookies, but this may affect Portal functions.
14. CONFIDENTIALITY
The parties should not disclose commercial, technical or other confidential information received during request processing except where it is public, independently obtained, required for performance, disclosed with consent or required by law.
15. LIMITATION OF LIABILITY
The Company is not responsible for interruptions, technical errors, third-party services, consequences of incomplete or inaccurate Customer data, or indirect losses to the extent permitted by law. The Company’s obligations arise only from documents and terms expressly agreed with the Customer.
16. FORCE MAJEURE AND OTHER CIRCUMSTANCES
Force majeure and other circumstances beyond a party’s reasonable control, including armed conflict, restrictions, transport disruption, communication failures, power outages and shortages, may affect performance periods and release the affected party from liability to the extent provided by law.
17. BLOCKING ACCESS
The Company may restrict or block Portal access to prevent a violation, protect security, stop abusive or automated activity, protect rights or comply with law.
18. CHANGES TO THE TERMS
The Company may amend these Terms by publishing an updated version on the Portal. The version published on the Portal applies from the stated effective date unless the law requires otherwise.
19. DISPUTE RESOLUTION
The parties should first seek to resolve disputes through written communication. Unresolved disputes are governed by Ukrainian law and considered by the competent court under the applicable jurisdiction rules.
20. FINAL PROVISIONS
If an individual provision is invalid, the remaining provisions stay effective. These Terms do not waive rights or obligations established by Ukrainian law. In the event of differences in interpretation, the Ukrainian version of the Terms prevails.
